10. Governing Law & Jurisdiction

1. If the Client acts in a professional or business capacity (B2B):

The parties expressly agree that the courts of the State of Wyoming, United States of America, shall have exclusive jurisdiction for the resolution of any dispute arising out of or in connection with this Agreement, and the parties irrevocably submit to such jurisdiction, waiving any objection based on lack of jurisdiction or improper venue.

2. If the Client acts as a consumer (B2C):

The Client retains the right, at their discretion, to bring proceedings either before the courts of their place of residence or before the courts of Wyoming, U.S.A., in accordance with applicable consumer protection law.

3. Subsequent Agreement on Alternative Dispute Resolution:

Any subsequent explicit and written or electronically documented agreement between the parties regarding the procedure or venue for the resolution of a specific dispute shall prevail over this clause, provided that their clear and mutual consent is established. Such agreement may include, indicatively, the selection of another jurisdiction, arbitration proceedings, or mediation in a mutually agreed location.
